Welcome to Shiksha Portals ([https://shikshaportals.com/](https://shikshaportals.com/)), an all-in-one, cloud-based, AI-powered School Management SaaS platform operated, maintained, and managed by Shilvora Software Pvt. Ltd. ("Company," "we," "us," or "our").

Please read these Terms of Use ("Terms") carefully before accessing, subscribing to, or using our website, web dashboards, admin panels, mobile applications (Parent, Staff, Driver apps), desktop biometric agents, APIs, and associated services (collectively, the "Platform" or "Shiksha Portals").

By accessing, registering for, or using Shiksha Portals, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other guidelines or policies incorporated herein. If you are entering into these Terms on behalf of an educational institution, school, trust, or corporate body, you represent that you have the legal authority to bind that entity to these Terms.

1. Definitions

  • "Platform" refers to the Shiksha Portals website, cloud software, mobile applications, multi-tenant databases, API integrations, and related digital properties.

  • "Educational Institution / School" refers to the subscribing school, college, trust, or educational organization that holds an active subscription account on Shiksha Portals.

  • "School Admin" refers to authorized management personnel, principals, or IT administrators appointed by the School to configure and manage institutional settings, user roles, and billing.

  • "Staff / Teachers" refers to educators, administrative employees, and personnel using the Platform or Staff Mobile App.

  • "Parents / Guardians" refers to parents, legal guardians, or sponsors of enrolled students utilizing the Parent/Student Mobile App or Web Portal.

  • "Students" refers to individuals enrolled in a subscribing Educational Institution who access learning management materials, assignments, or student portals.

  • "Users" collectively refers to Schools, School Admins, Staff, Parents, Students, Drivers, and any visitors or third parties interacting with the Platform.

2. Eligibility & Account Registration

  • Age Requirement: Users must be at least 18 years of age to register an institutional or administrative account. Minors (Students) may only access the Platform under the direct supervision and authorization of their respective Educational Institution, School Admin, or Parent/Guardian.

  • Institutional Accounts: Schools must provide accurate, current, and complete registration information. You are strictly responsible for maintaining the confidentiality of your master admin credentials, API tokens, and SSO links (Google/Microsoft OAuth).

  • Account Security: Users are entirely responsible for all activities that occur under their respective user accounts. You agree to notify Shiksha Portals immediately of any unauthorized use, security breaches, or password compromises.

3. Scope of Services & Multi-Tenant SaaS License

  • License Grant: Subject to your compliance with these Terms and timely payment of applicable subscription fees, Shilvora Software Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to access and use Shiksha Portals for internal educational management purposes.

  • Multi-Tenant Architecture: Shiksha Portals operates as a multi-tenant cloud SaaS solution. While your institutional data is logically segregated and secured with bank-grade encryption (AES-256), system updates, underlying cloud infrastructure, and AI modules are shared across tenants.

  • Modifications & Updates: We reserve the right to modify, upgrade, enhance, or discontinue any feature, module (e.g., AI Timetable Builder, Biometric Sync, WhatsApp API), or interface of the Platform at any time with or without prior notice.

4. User Responsibilities & Acceptable Use Policy

When using Shiksha Portals, you agree not to:

  1. Violate Laws: Use the Platform in any manner that violates applicable local, national, or international laws, including the Information Technology Act, 2000, and the Digital Personal Data Protection (DPDP) Act, 2023.

  2. Harm Data or Security: Attempt to probe, scan, test vulnerability, or bypass security mechanisms, encryption protocols (AES-256), or role-based access controls (RBAC) of the Platform.

  3. Unauthorized Access: Access data, student records, or administrative accounts belonging to other schools or users without explicit authorization.

  4. Malicious Code: Upload, transmit, or distribute viruses, ransomware, spyware, or harmful automated scripts via homework portals, file uploads, or bulk CSV/Excel import tools.

  5. Misuse AI & Messaging APIs: Abuse AI prompt engines, WhatsApp bulk messaging, or SMS gateways for spam, harassment, unauthorized marketing, or generating prohibited or misleading content.

  6. Reverse Engineering: Decompile, reverse engineer, scrape, or extract source code, database structures, or proprietary algorithms from the Platform or connected mobile apps.

5. Roles & Responsibilities Matrix by User Category

A. For Educational Institutions & School Admins

  • Data Ownership & Accuracy: The School retains absolute ownership of all institutional data, student rolls, staff payroll records, and financial entries uploaded to Shiksha Portals. The School is solely responsible for ensuring that all uploaded data complies with parental consent requirements and local data privacy laws.

  • Fee Collection & Payment Gateways: Integration with third-party payment gateways (such as Razorpay, Paytm, HDFC) is managed under separate commercial agreements between the School and the gateway provider. Shiksha Portals acts solely as a technology facilitator and bears no liability for payment processing errors, banking downtimes, or chargeback disputes.

  • Biometric & Hardware Sync: The School is responsible for the proper physical installation and maintenance of hardware devices (such as ZKTeco biometric units and GPS trackers). The Shiksha Portals Windows Biometric Agent and Driver Apps must be operated in accordance with provided documentation.

B. For Teachers & Staff

  • Professional Conduct: Staff members must use the Staff App, grading tools, virtual classrooms (Zoom/Google Meet), and live chat features strictly for legitimate educational, academic, and administrative duties.

  • Confidentiality: Teachers and staff must safeguard student grades, disciplinary remarks, contact details, and medical logs, preventing unauthorized disclosure.

C. For Parents & Students

  • Accurate Information: Parents and students must provide accurate contact and emergency details during admission and enrollment workflows.

  • Credential Sharing: Parents are responsible for maintaining the confidentiality of their Parent Mobile App login credentials and ensuring that students use learning materials and portals appropriately.

  • GPS & Transport Tracking: Live GPS bus tracking data provided via the Parent App is for personal commuting convenience. Schools and Shiksha Portals are not liable for transit delays caused by traffic, weather, or mechanical failures.

6. Intellectual Property Rights

  • Platform Ownership: All rights, title, interest, source code, UI/UX designs, custom CSS color schemes, AI models, documentation, trademarks, and logos associated with Shiksha Portals and Shilvora Software Pvt. Ltd. are the exclusive property of the Company.

  • School Content: Schools retain all intellectual property rights over their institutional branding, logos, uploaded study materials, and custom report card layouts. By uploading content, you grant Shiksha Portals a worldwide, royalty-free license to host, process, and display such content solely to deliver the SaaS services.

7. Fees, Payments, and Subscription Renewals

  • Subscription Plans: Access to Shiksha Portals operates on a SaaS subscription model (monthly, annual, or multi-year terms).

  • Taxes: All fees are exclusive of applicable statutory taxes (such as GST in India), unless explicitly stated otherwise.

  • Service Suspension: Failure to renew subscriptions or clear pending invoices prior to the due date may result in temporary suspension of administrative panels, mobile app access, and automated WhatsApp/SMS notifications until dues are settled.

8. Data Privacy & Security

  • Data Protection: We implement robust security measures including 256-bit SSL encryption, AES-256 database encryption, automated daily cloud backups, and granular Role-Based Access Control (RBAC).

  • Privacy Policy: Our collection, storage, and processing of personal data are governed by our Privacy Policy, which complies with applicable data protection regulations. By using the Platform, you consent to such data processing practices.

9. Limitation of Liability & Disclaimers

  • "As-Is" Basis: Shiksha Portals is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

  • Exclusion of Damages: To the maximum extent permitted by law, Shilvora Software Pvt. Ltd., its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, academic disruption, or business interruption arising out of or related to your use of the Platform.

  • Maximum Liability: In no event shall the aggregate liability of Shilvora Software Pvt. Ltd. exceed the total subscription fees paid by the respective Educational Institution to Shiksha Portals in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Shilvora Software Pvt. Ltd., its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your breach or violation of these Terms;

  • Misuse of the Platform by school staff, parents, or students under your administration;

  • Violation of any third-party right, including intellectual property or privacy rights;

  • Non-compliance with applicable educational, financial, or data protection laws.

11. Termination

  • Termination by School: Schools may terminate their subscription at the end of the current billing cycle by providing written notice in accordance with their specific master service agreement. Data export assistance will be provided prior to account closure.

  • Termination by Company: We reserve the right to suspend or terminate immediate access to the Platform if a User engages in fraudulent activity, breaches acceptable use policies, or violates these Terms.

  • Survival: Provisions concerning intellectual property, data ownership, limitation of liability, and indemnification shall survive the termination of these Terms.

12. Governing Law and Dispute Resolution

  • Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

  • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the competent courts located in Uttar PradeshIndia (or the registered operational jurisdiction of Shilvora Software Pvt. Ltd.).

13. Changes to Terms

We may update or revise these Terms from time to time to reflect technological advancements, new feature releases (such as expanded AI modules), or legal updates. We will notify users by posting the updated Terms on this page with a revised "Last Updated" date. Continued use of Shiksha Portals after such changes constitutes your binding acceptance of the revised Terms.
